Article 1 (Purpose)
These Terms set out the rights, obligations, and responsibilities of Nexora (the "Operator") and users, and other necessary matters, in connection with the use of the Ollarai service (the "Service") provided by the Operator.
Article 2 (Definitions)
- "Service" means an AI-based financial data research service that converts questions entered in natural language into queries (SQL) against corporate disclosure and financial data and provides the query results in table form.
- "User" means any member or non-member who uses the Service under these Terms.
- "Member" means a person who has agreed to these Terms, created an account with an email address or a Google account, and uses the Service.
- "Account" means the combination of email address and password registered by a member, or the Google account a member has connected, for identification and use of the Service.
- "Output" means all information the Service provides in response to a user's question, including query results and notices.
- "Beta Service" means a service provided to a limited number of users before the official launch to validate features and quality.
- "Paid Service" means a service that a member uses after paying a fee.
- "Subscription" means an agreement under which a member pays a set monthly fee and uses the Paid Service for one month from the billing date (the "Billing Period"). Unless the member cancels, it renews automatically on the same terms.
- "Billing Date" means the day on which the subscription fee is charged, which falls on the same date each month as the first payment.
Article 3 (Posting and Amendment of Terms)
- The Operator posts these Terms, together with its trade name, representative's name, business address, business registration number, mail-order business registration number, and contact information, in the Service so that users can easily find them.
- Trade name: Nexora
- Representative: Taeho Jeon
- Business address: 26 Gwandae-gil, Room 203, Gangneung-si, Gangwon State, Republic of Korea
- Business registration number: 226-23-07642
- Mail-order business registration number: 2026-강원강릉-0425
- Phone: +82-10-7902-3085
- Email: contact@ollarai.com
- The Operator may amend these Terms to the extent that doing so does not violate applicable laws, including the Act on the Regulation of Terms and Conditions, the Act on Promotion of Information and Communications Network Utilization and Information Protection, and the Act on the Consumer Protection in Electronic Commerce.
- When amending these Terms, the Operator announces the effective date and reasons in the Service, together with the current Terms, from 7 days before the effective date until the day before. For changes unfavorable to users, the Operator announces them from 30 days before the effective date and notifies members individually by email.
- If the Operator clearly states in the announcement or notice under paragraph 3 that members who do not object by the effective date will be deemed to have agreed, and a member does not expressly object, the member is deemed to have agreed to the amended Terms.
- If a member does not agree to the amended Terms, the Operator cannot apply them to that member, and the member may terminate the service agreement. In that case, a subscribed member will receive a refund for the remaining Billing Period under Article 12(5).
Article 4 (Matters Not Covered)
Matters not set out in these Terms and the interpretation of these Terms are governed by applicable laws, such as the Act on the Consumer Protection in Electronic Commerce and the Content Industry Promotion Act, or commercial practice.
Article 5 (Formation of the Service Agreement)
- The service agreement is formed when a person who wishes to use the Service agrees to these Terms and the Privacy Policy, applies for membership, and completes email verification (or, when signing up with a Google account, completes Google account authentication).
- The Operator may decline, or terminate the agreement after sign-up, any application that:
- uses another person's email address or contains false information;
- is made by a person under 14;
- is made again by a person whose use was previously restricted for violating these Terms; or
- seeks to use the Service for an improper purpose.
- An agreement for the Paid Service is formed when a member reviews the plan, fee, billing cycle, automatic renewal, and withdrawal and refund terms on the checkout screen, agrees to the payment, and the payment is completed.
Article 6 (Beta Service)
- The Service is currently provided as a Beta Service and may have less functionality, quality, and stability than an official service.
- During the beta period, the Operator may change the features, screens, and usage limits of the Service, or add or discontinue some features, and will announce important changes in the Service in advance. However, changes to the content or usage limits of the Paid Service that are unfavorable to subscribed members follow Article 10.
- Usage records, such as question history, may be reset when the Beta Service ends or transitions to an official service.
- The Operator may use feedback and error reports from users to improve the Service.
Article 7 (Service Content and Usage Limits)
- The Operator provides members with the following:
- analysis of natural-language questions and generation of data queries (SQL);
- query results in table form, with a feature to copy results; and
- other features the Operator designates and announces.
- The Service offers a free mode and a paid mode for answers. The paid mode additionally verifies and refines the generated SQL and is available to subscribed members and to members designated by the Operator (such as beta testers). On screen, the free mode is shown as "Quick" and the paid mode as "Precise".
- The free mode and the paid mode may each have a limit on the number of uses per period (one day or one month). The usage limits for each plan and when they reset (Korea time) are posted on the pricing page of the Service.
Article 8 (Fees and Payment)
- The plans, fees, and usage limits of the Paid Service are posted on the pricing page of the Service. Fees shown in Korean won include value-added tax. For overseas payments, taxes applicable in your country of residence may be shown separately on the checkout screen.
- Fees are paid as follows, depending on the payment currency:
- Domestic payments (Korean won): the Operator is the seller, and members pay with credit cards, debit cards, and other payment methods provided by our payment service provider in Korea.
- Overseas payments (currencies other than Korean won): Paddle.com Market Limited ("Paddle") acts as the reseller and Merchant of Record, selling the Paid Service to members and handling billing, payment processing, tax collection, and receipts. In this case, the Paddle Buyer Terms apply to the payment together with these Terms, and these Terms apply to the provision and use of the Service.
- Members must use payment methods in their own name and are responsible for any problems arising from the unauthorized use of another person's payment method.
- The Operator may provide the paid mode free of charge to members it designates, such as beta testers, and in that case will not charge them without their separate consent.
Article 9 (Recurring Payments and Automatic Renewal)
- A subscription renews by automatically charging the registered payment method on each Billing Date. In a month without that date, the charge is made on the last day of the month.
- On the checkout screen, the Operator clearly states the fee, the billing cycle, the fact that the subscription renews automatically, and how to cancel, and obtains the member's consent.
- If an automatic payment fails, for example because a card limit is exceeded or a card has expired, the Operator (or Paddle, for overseas payments) will notify the member by email and may retry the payment. If payment is not made, use of the paid mode for the next Billing Period is suspended, while the free mode remains available.
- If the Operator converts a free trial or discounted period to the regular fee, it will notify the member by email of the conversion date and amount at least 30 days in advance.
Article 10 (Changes to Fees and Paid Service Content)
- If the Operator raises the subscription fee or changes the content or usage limits of the Paid Service in a way unfavorable to members, it will announce the changes and their effective date in the Service, and notify subscribed members individually by email, at least 30 days before the effective date.
- An increased fee applies only if the member agrees to it. For members who do not agree, the subscription ends with the last Billing Period that ends before the change takes effect, and no further automatic payments are made.
Article 11 (Cancelling a Subscription)
- Members may cancel their subscription at any time on the subscription management screen of the Service or by email (contact@ollarai.com). The Operator will not make cancellation more difficult than subscribing.
- After cancellation, no automatic payment is made from the next Billing Date, and the member may continue to use the Paid Service until the end of the Billing Period already paid for.
- Refunds upon cancellation follow Article 12.
Article 12 (Withdrawal and Refunds)
- Members may withdraw from a purchase within 7 days of the Billing Date (including renewal payments). However, if the member has used the paid mode during that Billing Period, withdrawal is restricted under Article 17(2)(v) of the Act on the Consumer Protection in Electronic Commerce.
- The Operator clearly displays on the checkout screen that withdrawal is restricted as described in the proviso of paragraph 1, and members can try the Service in the free mode before paying.
- Notwithstanding the proviso of paragraph 1, if the Paid Service differs from what was displayed or advertised or is performed differently from the agreement, the member may withdraw within 3 months from the date the Service became available, or within 30 days from the date the member knew or could have known of the fact.
- If the withdrawal period has passed or withdrawal is restricted, fees for the Billing Period already paid for are not refunded even if the subscription is cancelled, and the member may use the Paid Service until the end of that Billing Period under Article 11(2).
- In the following cases, the Operator refunds the fee for the remaining Billing Period, calculated on a daily pro-rata basis:
- the Operator discontinues the Paid Service;
- the Paid Service remains unavailable for reasons attributable to the Operator; or
- the member terminates the service agreement under Article 3(5).
- If the Operator terminates the service agreement under Article 18(2), it also refunds the fee for the remaining Billing Period on a daily pro-rata basis. However, if the member's violation has caused damage to the Operator, the amount of that damage may be deducted.
- The Operator issues refunds, such as by cancelling the payment, within 3 business days of receiving a withdrawal or refund request. For credit card payments, the actual timing of the refund may vary depending on the card issuer.
- Withdrawals and refunds for overseas payments are processed through Paddle under the standards in this Article. However, if the laws of your country of residence or the Paddle Buyer Terms give you more favorable rights, those apply.
Article 13 (Payments by Minors)
- Members under 19 must obtain the consent of their legal representative to pay for the Paid Service.
- If a member under 19 pays without the consent of their legal representative, the member or the legal representative may cancel the payment. However, cancellation is not possible if the payment was made within the scope of property the legal representative permitted the member to dispose of, or if the member used deception to make others believe that they were an adult or had the legal representative's consent.
Article 14 (Changes to and Suspension of the Service)
- The Operator may temporarily suspend the Service for reasons such as maintenance, replacement, or failure of equipment, communication outages, or outages of external services (such as cloud, AI API, or payment providers).
- The Operator may end the Beta Service or the Paid Service for business reasons and will announce this in the Service and by email at least 30 days before the end date. In unavoidable circumstances, notice may be given afterward. Refunds when the Paid Service is discontinued follow Article 12(5).
Article 15 (Compensation for Service Outages)
- If the Paid Service is unavailable for 4 or more consecutive hours for reasons attributable to the Operator, the Operator will extend the subscribed member's Billing Period free of charge by three times the length of the outage.
- Paragraph 1 does not apply to scheduled maintenance announced in advance or to force majeure such as natural disasters.
Article 16 (Member Information and Account Management)
- Members must notify the Operator, such as by email, if the information registered at sign-up changes.
- Members are responsible for managing their account (email address and password, or Google account) and must not transfer it to or let it be used by others.
- Members who become aware that their account has been stolen or is being used by others must notify the Operator immediately and follow its guidance.
- The Operator is not liable for damages arising from a member's failure to comply with paragraphs 1 to 3, unless the Operator is at fault.
Article 17 (Notices to Members)
- The Operator may send notices to members at the email address they registered.
- For notices to many members at once, the Operator may post the notice in the Service for at least 7 days instead of notifying individually. However, matters that significantly affect a member's own transactions are notified individually.
Article 18 (Account Closure and Restrictions on Use)
- Members may request account closure at any time by emailing contact@ollarai.com from the email address they signed up with, and the Operator will process the request without delay. Closing an account also cancels any active subscription, and refunds follow Article 12. Personal information after closure is handled under the Privacy Policy.
- If a member violates the obligations in Article 19 or interferes with the normal operation of the Service, the Operator may restrict use in the order of warning, temporary suspension, and termination of the service agreement. For serious or urgent violations, the Operator may suspend or terminate use immediately.
- When restricting use under paragraph 2, the Operator will notify the member of the reason by email, and the member may object within 14 days of receiving the notice.
Article 19 (User Obligations)
Users must not:
- register false information or use another person's information when applying or updating information;
- share or transfer their account;
- use another person's payment method without authorization, or obtain payments or refunds by fraudulent means;
- use automated programs (bots, scripts, crawlers, etc.) to submit questions in bulk or collect Output;
- collect Output in bulk to build a database, or sell, redistribute, or otherwise use Output for commercial purposes without the Operator's prior consent;
- reverse engineer or attempt to extract the Service's source code, models, or prompts, or use the Service to develop a competing service;
- attack security vulnerabilities of the Service or interfere with its operation through abnormal requests;
- enter other people's personal information or unlawful content in questions;
- infringe the intellectual property, reputation, or other rights of the Operator or third parties; or
- otherwise act against applicable laws, public order, or good morals.
Article 20 (Operator Obligations)
- The Operator complies with applicable laws and these Terms and makes efforts to provide the Service stably.
- The Operator maintains security systems to protect users' personal information and publishes and complies with its Privacy Policy.
- The Operator handles opinions or complaints from users that it finds legitimate and, if handling takes time, informs users of the reason and schedule.
Article 21 (Notice Regarding Investment Information)
- The Service is an information tool that retrieves and organizes publicly available disclosure and financial data. It does not solicit investment, provide investment advice, or manage investments on a discretionary basis. The Operator is not an investment advisory business or a quasi-investment advisory business under the Financial Investment Services and Capital Markets Act of Korea.
- The Service does not recommend buying or selling any particular financial investment product, and Output is only reference material for your investment decisions. Fees for the Paid Service are paid for the use of data query features, not for investment advice.
- You are solely responsible for your final investment decisions and their outcomes.
Article 22 (Limitations of Output)
- Output is generated automatically by AI. The AI may interpret a question differently from what you intended or generate incorrect SQL, producing results that differ from the facts.
- The source data underlying Output may contain delays depending on disclosure timing, errors, or omissions.
- The Operator does not guarantee the accuracy, completeness, or timeliness of Output. You should check original sources, such as the original disclosures, yourself before making important decisions.
- The Operator may display notices in the Service for results with low confidence or questions it cannot answer.
Article 23 (Ownership and License)
- Copyright and other intellectual property rights in the software, databases, designs, trademarks, and other materials related to the Service belong to the Operator or the rightful owners.
- You retain the rights to the questions you enter. However, you grant the Operator a free license to use your questions and the Output to the extent necessary to provide and improve the Service, including using pseudonymized data for AI training as described in the Privacy Policy.
- You may use Output for personal research and internal business purposes. Rights in the source data contained in Output belong to their respective owners, and you must not use Output in the ways prohibited by Article 19.
Article 24 (Damages and Limitation of Liability)
- If the Operator or a user causes damage to the other by violating these Terms, it is liable to compensate for that damage, unless it was not at fault.
- For services provided free of charge, the Operator is not liable for damages suffered by users except where caused by the Operator's intent or gross negligence.
- The Operator is exempt from liability where:
- it cannot provide the Service due to force majeure, such as natural disasters, war, power outages, or outages of external services (such as cloud, AI API, or payment providers);
- disruption of the Service is attributable to the user; or
- a user suffers losses from investment or other decisions based on Output (Articles 21 and 22).
Article 25 (Dispute Resolution)
- The Operator receives and handles users' opinions and complaints at contact@ollarai.com and, if handling takes time, informs users of the reason and schedule.
- If a dispute arises between the Operator and a user, both parties will negotiate in good faith to resolve it amicably, and the user may apply for mediation to a dispute resolution body such as the Korea Consumer Agency or the Content Dispute Resolution Committee.
Article 26 (Governing Law and Jurisdiction)
- These Terms and the use of the Service are governed by the laws of the Republic of Korea. However, this does not limit any mandatory rights that the laws of your country of residence guarantee to consumers.
- Lawsuits between the Operator and a user arising from the use of the Service shall be filed with the court having jurisdiction under the Civil Procedure Act of Korea.
Addendum
These Terms take effect on November 20, 2026.
